Terms & Conditions

1. Eligibility
  • You must be 18 or older to participate
  • Approval is at our discretion; we reserve the right to reject any application
  • Existing customers, employees, and contractors are not eligible without prior written consent
2. Independent Contractor Status
  • You are an independent contractor, NOT an employee, agent, partner, or joint venturer
  • You have no authority to bind us to any obligation, make representations on our behalf, or enter contracts in our name
  • You are not entitled to payroll, benefits, insurance, expense reimbursement, or any employment protections
  • You are solely responsible for your own tax obligations, including self-employment / income tax in your jurisdiction
  • Nothing in this agreement creates an employment relationship
3. Commission Structure
  • Affiliates earn 10.00% commission on all referred sales
  • Commissions are calculated on the order subtotal (excluding taxes, shipping, and any discounts beyond your coupon)
  • Commissions are pending until the refund window closes (30 days from order date)
  • Refunded orders reverse the associated commission automatically
  • We make no guarantee, representation, or warranty regarding the amount of income you may earn
4. Payment Terms
  • Minimum payout threshold: $25.00
  • Payments are processed monthly
  • Affiliates are responsible for providing accurate payout details (PayPal email, bank info, etc.)
  • Affiliates are responsible for any taxes owed on commission income in their jurisdiction
  • We may withhold or reverse commissions tied to fraudulent, self-referred, or policy-violating orders
  • Accounts inactive for 24 consecutive months (no clicks, conversions, or login) may have unclaimed balances forfeited, subject to applicable escheat laws
5. Tracking & Attribution
  • Affiliate cookies are valid for 30 days from the first click
  • Last-click attribution applies: if a customer clicks multiple affiliate links, the last one wins
  • Self-referrals are not permitted and will not be paid out
6. Promotion Guidelines
  • Promote authentically and disclose your affiliate relationship per local regulations (FTC in the US, ASA in the UK, applicable EU rules)
  • Do not use spam, paid search ads on our branded keywords, or misleading claims
  • Do not impersonate the brand or its representatives
  • Do not promote on illegal, adult, or hateful content sites
7. Coupons & Discounts
  • Use only the coupon codes we assign to you
  • Do not post coupons to public coupon-aggregation sites without our written consent
  • Stacking your coupon with other promotions is at our discretion
8. Trademark & Brand Usage
  • You may refer to our brand name and product names in your promotional content
  • You may NOT register domain names, social media handles, or trademarks that are confusingly similar to ours
  • You may NOT run paid ads using our trademarks as keywords or in ad copy
  • All goodwill arising from your use of our brand inures to us
  • We may require you to take down content that misuses our brand
9. Confidentiality
  • In the course of the program you may receive non-public information (commission rates, internal metrics, pre-launch products, customer lists, business plans)
  • You must keep all such information confidential, use it only to fulfil your obligations under this agreement, and not disclose it to any third party
  • These obligations survive termination of this agreement for three (3) years
  • You may not scrape, harvest, or otherwise collect data about our customers from any source you encounter through the program
10. Limitation of Liability
  • To the maximum extent permitted by law, our total liability arising from or related to this agreement shall not exceed the total commissions paid to you in the twelve (12) months preceding the claim
  • We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or business opportunity
  • These limitations apply even if we have been advised of the possibility of such damages
11. Indemnification
  • You agree to defend, indemnify, and hold us harmless from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising from: (a) your breach of this agreement (b) your promotional content, methods, or representations (c) your violation of any applicable law (advertising, consumer protection, data privacy) (d) any third-party claim that your promotional content infringes their rights
12. Termination & Survival
  • Either party may terminate this agreement at any time, with or without notice
  • Outstanding commissions earned in compliance with these terms will be paid out per the normal schedule after termination
  • We may withhold final payment pending any required investigation
  • The following sections survive termination: Independent Contractor Status, Confidentiality, Limitation of Liability, Indemnification, Trademark & Brand Usage, Governing Law
13. Governing Law & Dispute Resolution
  • This agreement is governed by the laws of [YOUR JURISDICTION — e.g. State of Delaware, USA / England & Wales / etc.] without regard to its conflict-of-laws provisions
  • Any dispute arising from this agreement shall be resolved by binding arbitration seated in [YOUR CITY, COUNTRY], administered under [arbitration body — e.g. AAA Commercial Rules, ICC, LCIA]
  • Each party waives the right to a jury trial and the right to participate in any class action
  • Nothing in this section prevents either party from seeking injunctive relief in court for IP, trademark, or confidentiality breaches
14. Changes to These Terms
  • We may update these terms periodically; continued participation constitutes acceptance
  • Material changes will be notified at least 7 days in advance via the email on file
15. Entire Agreement & Severability
  • This agreement (along with any documents incorporated by reference) constitutes the entire agreement between you and us regarding the affiliate program, superseding all prior or contemporaneous communications, representations, or agreements
  • If any provision is held to be unenforceable, the remaining provisions remain in full force and effect
  • Our failure to enforce any provision shall not constitute a waiver of that provision
